EcoFloats End-User Licence Agreement (EULA)

Effective Date: 07 October 2024

This End-User Licence Agreement (“Agreement”) is a legal agreement between you (“User”) and EcoFloats (“Company,” “we,” “us,” or “our”), governing your use of the EcoFloats mobile application (the “App”).

By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the App.

1. Licence Grant

Subject to your compliance with the terms and conditions of this Agreement, EcoFloats grants you a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes. You may not sublicense or transfer any rights granted to you under this Agreement.

2. Use of the App

You agree to use the App only for lawful purposes and in accordance with this Agreement. You are solely responsible for the content you share and any actions you take through the App, including listing, exchanging, or using holiday items such as pool inflatables.

3. No Warranties

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, EcoFloats makes no representations or warranties of any kind, express or implied, as to the operation of the App or the information, content, or materials available through it. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

EcoFloats does not warrant that the App will be error-free, secure, uninterrupted, or free from defects, viruses, or other harmful components.

4. User Assumption of Risk

You understand and agree that the use of the App is entirely at your own risk. EcoFloats is not responsible for verifying the condition, quality, or safety of any items listed or exchanged through the App. It is the responsibility of users to ensure that items are safe for use and compliant with any applicable laws or regulations.

EcoFloats is not responsible for the interactions between users of the App and it is the responsibility of users to ensure their safety and security when interacting with other users of the the platform.

5. Limitation of Liability

To the maximum extent permitted by applicable law, EcoFloats, its affiliates, employees, directors, agents, and contractors shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the App. This includes, but is not limited to, damages for personal injury, loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.

In no event shall EcoFloats’ total liability to you for all claims exceed the amount of any fees paid by you to use the App, or £0 if no such fees have been paid.

6. Indemnification

You agree to indemnify, defend, and hold harmless EcoFloats, its affiliates, employees, officers, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way related to your use of the App, your breach of this Agreement, or your violation of any third-party rights.

7. Termination

EcoFloats reserves the right to terminate or suspend your access to the App at any time, without notice or liability, for any reason, including if you breach any terms of this Agreement. Upon termination, the rights and licences granted to you under this Agreement will immediately cease.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Amendments to this Agreement

EcoFloats reserves the right to modify or update this Agreement at any time. We will provide notice of any material changes by posting the updated Agreement on our Website or through the App. Your continued use of the App following such changes constitutes your acceptance of the updated Agreement.
